In Alexandroupoli, on 11 August 2014, a Monday, at the offices of the Alexandroupoli Municipal Water Supply and Sewerage Company,
\nof Alexandroupoli, the undersigned:<\/p>\n
a. Evangelos Mytilineos, Chairman of the Municipal Water Supply
\nand Sewerage of Alexandroupoli (DEYAA), acting as the lawful
\nrepresentative in accordance with Article 5, paragraph 4 of
\nLaw No. 1069\/80 and Decision No. 155\/20-06-2014 of the Board of Directors,
\nwhich approved the outcome of the tender held on
\n11 June 2014, to select the successful tenderer for the provision of the aforementioned
\nservice;<\/p>\n
b. \u2018ERGA PRASINOU A.T.E. \u2019, with its registered office in Alexandroupoli, 150 Demokratias Avenue,
\ntel. 25510-26867 and fax 25510-34667, with
\nTax Identification Number: 099862798, Alexandroupoli Tax Office, legally represented by Mr Georgios Leivaditis, hereinafter referred to as the
\n\u2018CONTRACTOR\u2019, we agree as follows:<\/p>\n
In order for the Alexandroupoli Municipal Water Supply and Sewerage Authority (DEYA) to carry out the works which are
\ndescribed in detail in the design and the tender notice of the
\naforementioned authority,<\/p>\n
HAVE AGREED AND ACCEPTED<\/p>\n
the following:
\n(1) THE FIRST of the contracting parties, Evangelos Mytilineos, hereinafter referred to as the
\nCLIENT, in his aforementioned capacity and having taken into account:
\na. Presidential Decree 28\/80 (Government Gazette A\u2019 11): Concerning the execution of works and supplies by
\nlocal government bodies<\/p>\n
b. The provisions of Law 1642\/86 on VAT (Government Gazette A\u2019 25\/86)<\/p>\n
c. Law 1069\/80<\/p>\n
d. Law 3463\/2006 (Government Gazette A\u2019 114) \u2018Ratification of the Code of Municipalities and
\nCommunities\u2019 and the interpretative circulars issued to date<\/p>\n
e. Decision No. 114 of 25 April 2014 of the Board of Directors of the
\nDEYAA, by which the Tender Documents for the
\n\u2018SUPPLY AND APPLICATION OF LIME AND ZEOLITE for
\nthe SANITISATION OF STORED SEWAGE SLUDGE
\nBIOLOGICAL TREATMENT PLANT OF ALEXANDROUPOLIS and its DISPOSAL for use in
\nAGRICULTURE\u2019, the tender conditions were laid down and the date
\nfor the tender to take place on 11 June 2014, in accordance with the applicable
\nprovisions, with the award criterion being the lowest price offered
\nrelative to the study budget (in accordance with the system involving a
\nflat-rate discount, as per Article 16 of Presidential Decree 28\/80), based on the terms set out in the technical specifications and the tender notice.<\/p>\n
f. Decision No. 155 of 20 June 2014 of the Board of Directors of the
\nDEYAA, by which the minutes of the tender were ratified and
\nawarded the contract following the unanimous
\napproval of the Award Recommendation Committee, to the
\ncompany \u2018ERGA PRASINOU A.T.E. \u2019<\/p>\n
g. The contractual documents for the Study.<\/p>\n
h. The details of the tender dossier submitted by the company in question, and in particular
\nits financial offer, which is broken down as follows:
\nCost of works as per the tender: \u20ac29,050.00
\nVAT at 23%: \u20ac6,681.50
\nGRAND TOTAL: \u20ac35,731.50<\/p>\n
i. The terms of the articles of the Service Procurement Notice
\nrelating to the signing of the contract<\/p>\n
AWARDS THE CONTRACT TO<\/p>\n
To the second of the contracting parties: \u2018ERGAS PRASINOU A.T.E.\u2019,
\nhereinafter referred to as the CONTRACTOR, the execution of the service tender:
\n\u2018SUPPLY AND APPLICATION OF LIME AND ZEOLITE FOR THE
\nSANITISATION OF STORED SEWAGE SLUDGE FROM THE BIOLOGICAL
\nIN ALEXANDROUPOLIS AND ITS DISPOSAL IN GEORGIA\u2019 for the
\nexecution of the above works.<\/p>\n
The company \u2018ERGAS PRASINOU A.T.E.\u2019 unreservedly accepts this contract
\nand undertakes to perform the service in accordance with this
\ncontract \u2018SUPPLY AND APPLICATION OF LIME AND ZEOLITE for the
\nSANITISATION OF RESIDUAL SEWAGE SLUDGE FROM THE BIOLOGICAL
\nALEXANDROUPOLIS and its DISPOSAL in GEORGIA \u00bb
\nand in accordance with the following:<\/p>\n
i. The provisions of Law 1069\/80 concerning incentives for the establishment of
\nwater supply and sewerage companies.<\/p>\n
ii. Article 22 of Law 1069\/80;
\n;
\niii. Presidential Decree 28\/1980 on the execution of works and supplies by local authorities,;
\nas subsequently amended.<\/p>\n
iv. Law 3886\/2010 concerning judicial protection in relation to the
\nconclusion of public contracts.<\/p>\n
v. Law 3463\/2006 concerning the ratification of the Code of Municipalities and
\nCommunities.<\/p>\n
vi. Decision No. 114 of 25 April 2014 of the Board of Directors of DEYAA concerning the
\ntendering of the aforementioned service.<\/p>\n
vii. The tender documents for the service, which form an integral
\npart of this contract. In accordance with the provisions set out in the tender documents, the CONTRACTOR is obliged to
\ncomply fully with the terms described therein, as well as
\nwith the orders and instructions issued by DEYAA as and when required.
\nas well as any orders and instructions issued by DEYAA on a case-by-case basis.<\/p>\n
viii. The contractor\u2019s financial tender (Tender Form).<\/p>\n
ix. The decision approving the outcome of the tender, numbered
\n155\/20-06-2014, issued by the competent Supervising Authority and, in particular, the points
\nreferred to in its reasoning.<\/p>\n
(2) THE SECOND party to the contract, Georgios Livaditis, acting in his
\naforementioned capacity, having taken into account all of the above
\nDECLARES<\/p>\n
a. That his signature on this contract is absolutely binding on
\nthe company authorised to carry out this supply, namely
\n\u2018ERGAS PRASINOU A.T.E.\u2019 and that the latter is not entitled to
\nchallenge the provisions set out in this contract and in the
\ncontractual documents.<\/p>\n
b. That the contractor unreservedly accepts the above-described
\ncontract documents relating to this service.<\/p>\n
c. That the contractor shall comply, in accordance with the provisions set out above, with the instructions of the Managing Authority and the Heads of its
\ndepartments.<\/p>\n
d. That the contractor has studied and fully understood its obligations,
\nas these arise from the legislation in force and
\nare set out in the contract documents, in particular in the Technical
\nSpecifications for Materials and the Terms of Reference, and that any
\nfailure on the part of the contractor to familiarise himself with all available
\ninformation concerning the terms of the contract does not exempt him
\nfrom liability for full compliance with his contractual
\nobligations, and the contractor shall have no right
\nof a financial or other nature and\/or an extension of the deadline on these grounds;
\n.<\/p>\n
e. That the CONTRACTOR shall comply with the applicable legislation on
\nsafety measures, hygiene measures, etc., accepting that it is solely and
\nexclusively liable, both criminally and civilly, for any accident
\nthat may be caused by negligence in the application of the applicable provisions and
\nits obligations in general throughout the duration of the supply,
\nwhether on or off the premises. OCHOS shall comply with the applicable legislation regarding safety measures,
\nhealth and hygiene measures, etc., and accepts that it is solely and
\nsolely liable, both criminally and civilly, for any accident
\nthat may be caused by negligence in the application of the applicable provisions and
\nhis obligations in general throughout the duration of the supply,
\nwhether on or off the Company\u2019s premises.<\/p>\n
f. That he certifies that all the information required in accordance with the
\nTender Notice and which were submitted prior to the signing of the contract
\nare lawful, correct and accurate, and in no way conflict with
\nthe terms of the tender documents and that, in any event, even if
\nthere is any error or inconsistency, it unreservedly agrees to
\nrectify the point of inconsistency at his own expense, responsibility and
\ncost, without delay and within a reasonable time from the moment he becomes aware of the point of inconsistency.<\/p>\n
(3) Subsequently, the second party to the contract submitted:
\na. The following letter of guarantee for the proper performance of the service and
\nfaithful compliance with the terms of the contract, issued in favour of the
\nContractor by the guarantors named opposite each entry:

\nThe above guarantees cover the amounts provided for in accordance with
\nArticle 8 of the Tender Specifications.
\nThe provision of the services referred to in the tender budget
\ntender will take place in stages during the period following the signing of the
\ncontract, in accordance with the service\u2019s requirements, and always upon written instruction from the
\nTechnical Department of DEYAA.
\nThe CONTRACTOR is obliged to fulfil the total quantities
\nspecified in the indicative budget of the Service\u2019s study.<\/p>\n
(4) The date of signature of the Contract (11 August 2014) shall constitute,
\nin accordance with the provisions in force, the date of commencement of the
\nContractor\u2019s work.<\/p>\n
(5) The expenditure is charged to Budget Account 24.01.0032 of the DEYAA, entitled:
\n\u2018SUPPLY AND APPLICATION OF LIME AND ZEOLITE FOR THE
\nSANITISATION OF RESIDUAL SEWAGE SLUDGE FROM THE BIOLOGICAL
\nALEXANDROUPOLIS and its DISPOSAL in GEORGIA\u2019.<\/p>\n
(6) The duration of the service provision is SIX (6) months, from
\nthe signing of the contract;<\/p>\n
(7) Any tender specifying a validity period shorter than that provided for in the
\ntender notice shall be rejected as inadmissible.<\/p>\n
This document has been drawn up, read, certified and signed by the
\nabove contracting parties in six (6) authentic, identical originals, of which three
\n(3) were received by the second of the contracting parties, whilst the other (3) were filed in the
\nService\u2019s records.
